1. Acceptance of These Terms

These Website Terms of Service ("Terms") constitute a legally binding agreement between you and Aspect Blockchain Holdings, Inc., a Delaware corporation, acting on behalf of itself and its subsidiaries, including Aspect Blockchain LLC, a Texas limited liability company, and Aspect Blockchain UK Limited, a company registered in England and Wales (collectively, "Aspect Blockchain," the "Company," "we," "us," or "our"), governing your access to and use of the website located at aspectblockchain.com, including all subdomains, pages, content, features, and functionality made available through it (collectively, the "Site").

By accessing, browsing, or otherwise using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, you must not access or use the Site.

2. Eligibility and Authority

The Site is intended for use by persons who are at least 18 years of age. By using the Site, you represent and warrant that (a) you are at least 18 years old; (b) you have the legal capacity to enter into these Terms; (c) if you are accessing the Site on behalf of a company or other legal entity, you have full authority to bind that entity to these Terms, in which case "you" and "your" refer to that entity; and (d) your use of the Site does not violate any applicable law, regulation, or contractual obligation binding on you.

3. Use of the Site; Acceptable Use

The Site is provided solely for informational and promotional purposes relating to Aspect Blockchain's business operations, services, and capabilities. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for those purposes.

You agree that you will not, and will not permit or assist any third party to:

  • access, tamper with, or use any non-public areas of the Site, our servers, or our systems, or circumvent any access or use restrictions;
  • probe, scan, or test the vulnerability of the Site or any related system or network, or breach or attempt to breach any security or authentication measures;
  • interfere with or disrupt the operation or availability of the Site, or the servers, systems, or networks used to make the Site available, including by transmitting any virus, worm, malware, or other harmful code, or by imposing an unreasonable load on our infrastructure;
  • use any robot, spider, crawler, scraper, or other automated means to access the Site, harvest data from it, or reproduce or circumvent its navigational structure, including for the purpose of training, fine-tuning, or developing any machine-learning or artificial-intelligence model, without our prior written consent;
  • frame, mirror, deep-link to, or otherwise incorporate any part of the Site into any other website, application, or service without our prior written consent;
  • reverse engineer, decompile, or disassemble any software or code comprising the Site, except to the extent such restriction is prohibited by applicable law;
  • impersonate any person or entity, or misrepresent your affiliation with any person or entity, in connection with your use of the Site; or
  • use the Site in any manner that violates any applicable law or regulation of the United States, the United Kingdom, the United Arab Emirates, or any other jurisdiction that applies to you, or that infringes the rights of any third party.

We reserve the right to investigate suspected violations of this Section, to involve and cooperate with law enforcement authorities, and to pursue civil remedies, in each case to the fullest extent permitted by law.

4. No Offer; No Advice; No Reliance

The content of the Site is provided for general information only. Nothing on the Site constitutes, or is intended to constitute:

  • investment, financial, legal, tax, accounting, or technical advice;
  • a financial promotion within the meaning of applicable law, including section 21 of the UK Financial Services and Markets Act 2000;
  • an offer to sell, or a solicitation of an offer to purchase, any security, investment, digital asset, commodity interest, or financial product in any jurisdiction; or
  • a recommendation or endorsement of any digital asset, protocol, mining strategy, or investment approach.

Descriptions of our services, infrastructure, capacity, pricing, uptime, or performance appearing on the Site are indicative only, are subject to change without notice, and do not form part of any contract unless expressly incorporated into a separate written agreement executed by an authorized representative of the relevant Aspect Blockchain entity. Past performance of any asset, hardware, or operation described on the Site is not indicative of future results. You should not rely on the content of the Site as the basis for any business, investment, or technical decision, and you should obtain independent professional advice appropriate to your circumstances before making any such decision.

6. Intellectual Property; Limited License

The Site and all content made available through it, including without limitation all text, graphics, photographs, logos, icons, images, audio, video, software, source code, object code, data compilations, page layouts, and design elements (collectively, "Site Content"), are owned by or licensed to Aspect Blockchain and are protected by United States, United Kingdom, and international copyright, trademark, trade dress, database, and other intellectual property laws and treaties. All rights not expressly granted in these Terms are reserved.

You may view, download, and print Site Content solely for your personal reference or internal business evaluation of our services, provided that you do not modify the Site Content and do not remove or obscure any copyright, trademark, or other proprietary notices. Any other reproduction, modification, adaptation, distribution, republication, public display, transmission, or creation of derivative works from Site Content, in whole or in part, is strictly prohibited without the prior written consent of Aspect Blockchain. Nothing in these Terms or on the Site shall be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Site Content except as expressly permitted herein.

7. Trademarks

The ASPECT BLOCKCHAIN name, the Aspect Blockchain logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Aspect Blockchain Holdings, Inc. or its subsidiaries, whether or not registered. You may not use these marks, or any confusingly similar marks, without our prior written permission. All other trademarks and service marks appearing on the Site are the property of their respective owners, and their appearance does not imply any affiliation with, or endorsement by, Aspect Blockchain.

8. Copyright Complaints

We respect the intellectual property rights of others. If you believe that any Site Content infringes a copyright you own or control, you may submit a notification to our designated contact at inquiries@aspectblockchain.com, marked "Copyright Notice," containing: (a) identification of the copyrighted work claimed to have been infringed; (b) identification of the material claimed to be infringing and its location on the Site; (c) your name, address, telephone number, and email address; (d) a statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; (e) a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf; and (f) your physical or electronic signature. We will review and respond to compliant notices in accordance with applicable law, including the US Digital Millennium Copyright Act where it applies.

9. Feedback and Unsolicited Submissions

If you send us any ideas, suggestions, proposals, or other feedback relating to the Site or our business ("Feedback"), you agree that: (a) the Feedback is provided voluntarily and without restriction; (b) we are free to use, disclose, reproduce, and exploit the Feedback for any purpose, commercial or otherwise, without any obligation, compensation, or attribution to you; and (c) you waive, to the fullest extent permitted by law, any moral rights or similar rights you may have in the Feedback. Do not submit to us any information or ideas that you consider confidential or proprietary; we do not accept unsolicited confidential submissions, and no confidential relationship is created by any such submission.

10. Export Controls and Sanctions

You represent and warrant that you are not (a) located in, organized under the laws of, or ordinarily resident in any country or territory that is the subject of comprehensive sanctions administered by the US Office of Foreign Assets Control, the UK Office of Financial Sanctions Implementation, the United Nations, or the European Union; (b) identified on any applicable sanctions or restricted-party list, including the OFAC Specially Designated Nationals and Blocked Persons List or the UK Sanctions List; or (c) owned or controlled by, or acting on behalf of, any person described in clauses (a) or (b). You agree to comply with all applicable export control and sanctions laws in connection with your use of the Site, and you acknowledge that access to the Site and any dealings with Aspect Blockchain are conditioned on such compliance.

11. Third-Party Links and Resources

IThe Site may contain links to third-party websites, platforms, applications, or materials. These links are provided for convenience only. We do not control, endorse, or assume any responsibility for the content, accuracy, legality, security, or availability of any third-party resource, and the inclusion of any link does not imply any affiliation, sponsorship, or endorsement. Your access to and use of any third-party resource is at your own risk and subject to the terms and privacy policies of that third party.

12. Privacy

Our Privacy Policy explains how we collect, use, disclose, and protect personal information in connection with the Site. Where the processing of your personal data requires a legal basis under applicable data protection law, including the UK GDPR or EU GDPR, the applicable legal bases and your associated rights are set out in the Privacy Policy.

13. Disclaimer of Warranties

THE SITE AND ALL SITE CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY, REPRESENTATION, OR CONDITION OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ASPECT BLOCKCHAIN DISCLAIMS ALL WARRANTIES AND CONDITIONS, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, ACCURATE, COMPLETE, OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; OR THAT THE SITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Some jurisdictions do not allow the exclusion of certain warranties or conditions, so some of the above exclusions may not apply to you. In such jurisdictions, our warranties and conditions are limited to the minimum extent permitted by applicable law.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW: (A) IN NO EVENT SHALL ASPECT BLOCKCHAIN HOLDINGS, INC., ITS SUBSIDIARIES AND AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, OR AGENTS (COLLECTIVELY, THE "ASPECT PARTIES") BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR ANTICIPATED SAVINGS, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SITE OR ANY SITE CONTENT, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT ANY ASPECT PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (B) THE TOTAL AGGREGATE LIABILITY OF THE ASPECT PARTIES ARISING OUT OF OR IN CONNECTION WITH THE SITE OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED US DOLLARS (US$100).

NOTHING IN THESE TERMS EXCLUDES OR LIMITS ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING, WHERE APPLICABLE, LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FOR FRAUD OR FRAUDULENT MISREPRESENTATION, OR FOR ANY OTHER LIABILITY THAT MAY NOT LAWFULLY BE EXCLUDED OR LIMITED. IF YOU ARE DEALING WITH US AS A CONSUMER, NOTHING IN THESE TERMS AFFECTS ANY STATUTORY RIGHTS YOU HAVE UNDER THE LAWS OF YOUR COUNTRY OF RESIDENCE THAT CANNOT BE WAIVED OR LIMITED BY CONTRACT.

The exclusions and limitations in this Section reflect a reasonable allocation of risk between you and Aspect Blockchain, form an essential basis of the bargain between the parties, and shall apply even if any limited remedy fails of its essential purpose.

15. Indemnification

You agree to defend, indemnify, and hold harmless the Aspect Parties from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and costs) arising out of or related to: (a) your use or misuse of the Site in breach of these Terms; (b) your violation of any applicable law or regulation; or (c) your infringement or misappropriation of the intellectual property or other rights of any third party. We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. This Section does not apply to you to the extent prohibited by the mandatory consumer protection laws of your country of residence.

16. Suspension; Termination; Survival

We may suspend, restrict, or terminate your access to all or any part of the Site at any time, with or without cause, and without prior notice or liability, including if we reasonably believe you have violated these Terms or applicable law. Upon any termination, the license granted to you under Section 3 ends immediately. Sections 4 through 10 and 13 through 20 of these Terms, and any other provision that by its nature should survive, shall survive any termination of your access to the Site or of these Terms.

17. Governing Law; Jurisdiction; Waivers

These Terms, and any dispute, controversy, or claim arising out of or in connection with them, the Site, or your use of the Site, including non-contractual disputes or claims (collectively, "Disputes"), shall be governed by and construed in accordance with the laws of the State of Texas and the federal laws of the United States applicable therein, without regard to conflict-of-laws principles.

Subject to the final paragraph of this Section, any Dispute shall be brought exclusively in the state or federal courts located in Dallas County, Texas, and you and we each irrevocably consent to the personal jurisdiction of those courts and waive any objection on grounds of venue, forum non conveniens, or similar doctrine.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND ASPECT BLOCKCHAIN EACH WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY DISPUTE, AND EACH AGREE THAT ANY DISPUTE SHALL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. IF THIS PARAGRAPH IS HELD UNENFORCEABLE AS TO A PARTICULAR DISPUTE OR CLAIMANT, IT SHALL BE SEVERED AS TO THAT DISPUTE OR CLAIMANT ONLY, AND THE REMAINDER OF THESE TERMS SHALL REMAIN IN FULL FORCE AND EFFECT.

If you are a consumer habitually resident in the United Kingdom or the European Union, nothing in this Section deprives you of the protection of mandatory provisions of the law of your country of residence, or of your right to bring or defend proceedings in the courts of that country where applicable law grants you that right.

18. Changes to the Site or These Terms

We may modify, supplement, or discontinue the Site, in whole or in part, at any time. We may also revise these Terms from time to time. When we do, we will post the updated Terms on this page and revise the "Last Updated" date above, and where a change is material we will take reasonable steps to bring it to your attention, which may include prominent notice on the Site. Revised Terms take effect upon posting and apply to all access and use of the Site occurring after the posting date; they do not apply retroactively. Your continued use of the Site after the effective date of revised Terms constitutes your acceptance of them. If you do not agree to the revised Terms, your sole remedy is to discontinue use of the Site.

19. General Provisions

Entire agreement. These Terms, together with the Privacy Policy and any other legal notices published by us on the Site, constitute the entire agreement between you and Aspect Blockchain with respect to your use of the Site and supersede all prior or contemporaneous understandings, whether written or oral, regarding that subject. These Terms do not govern any commercial services provided by any Aspect Blockchain entity, which are subject to separate written agreements; in the event of any conflict between these Terms and such an agreement, the separate agreement controls with respect to its subject matter.

Severability. If any provision of these Terms is held by a court or tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible so as to give effect to the intent of the parties, and the remaining provisions shall continue in full force and effect.

No waiver. No failure or delay by Aspect Blockchain in exercising any right, power, or remedy under these Terms shall operate as a waiver of that or any other right, power, or remedy, and no waiver shall be effective unless made in writing.

Assignment. You may not assign, transfer, or delegate these Terms or any rights or obligations under them, in whole or in part, without our prior written consent, and any attempted assignment in violation of this provision is void. We may assign these Terms without restriction, including to any affiliate or in connection with any merger, acquisition, reorganization, or sale of all or substantially all of our assets.

No third-party beneficiaries. Except as expressly stated with respect to the Aspect Parties, these Terms do not confer any rights or remedies on any third party. To the extent the laws of England and Wales apply, a person who is not a party to these Terms shall have no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any of their provisions, except as expressly stated with respect to the Aspect Parties.

Force majeure. Aspect Blockchain shall not be liable for any failure or delay in the availability or performance of the Site resulting from causes beyond its reasonable control, including acts of God, natural disasters, power or grid failures, telecommunications or internet failures, cyberattacks, labor disputes, governmental actions, sanctions, war, terrorism, civil unrest, pandemic, or epidemic.

Interpretation. Section headings are for convenience only and do not affect interpretation. The words "including" and "includes" mean "including without limitation." No rule of construction shall apply against the drafting party.

Language. These Terms are drafted in English. Any translation is provided for convenience only, and the English version shall control in the event of any inconsistency.

Injunctive relief. You acknowledge that any breach of Sections 3, 6, 7, or 10 may cause irreparable harm to Aspect Blockchain for which monetary damages would be an inadequate remedy, and that Aspect Blockchain shall be entitled to seek injunctive or other equitable relief in respect of any such breach, without prejudice to any other rights or remedies.

Notices. Any notice to Aspect Blockchain under these Terms must be given in writing to the contact details in Section 20 and shall be deemed received upon confirmed delivery. We may provide notices to you by posting on the Site.
